Marvell to Acquire Lumentum in $115 Billion AI Connectivity Deal
The proposed all-stock acquisition brings custom AI silicon and optical technology closer together as data centres demand faster, more energy-efficient connections.
The AI connectivity stack is changing
A simplified view of how compute, electrical networking and optical links work together in large AI data centres.

What are Marvell and Lumentum bringing together?
Marvell develops semiconductor and connectivity technologies, including custom silicon and networking solutions used in data-centre infrastructure. Lumentum develops photonic products such as high-performance lasers and optical components used in cloud computing and communications networks.
The strategic logic is to combine electrical connectivity, custom chips and networking with optical technologies that move data using light. As AI clusters grow, moving large volumes of data between processors and systems becomes a major engineering challenge. Optical links can help address bandwidth and energy-efficiency requirements across certain distances and system designs.
Why optical connectivity matters for AI data centres
AI infrastructure is not only about GPUs. Large-scale systems also depend on memory, CPUs, switching, storage, power delivery, cooling and the links connecting thousands of components. As systems scale, the speed and energy cost of moving data become increasingly important.
From copper links to optical systems
Copper remains important for many short-reach connections, but electrical signal loss and power requirements become harder to manage as bandwidth and distance increase. Optical technologies use light to transmit data and can offer advantages in bandwidth and reach in suitable applications. They also introduce their own design, packaging, thermal and cost considerations.
Why the combination is strategically significant
Marvell says the deal is intended to create a broader connectivity portfolio spanning custom silicon, networking, lasers, optical transceivers, silicon photonics and advanced packaging. These are company expectations, not guaranteed post-merger outcomes. The combined product roadmap, integration and customer adoption will take time to evaluate.
Deal terms and timeline
Under the announced agreement, Lumentum shareholders would receive 4.5 Marvell shares for each Lumentum share. Reuters reports an implied equity value of approximately $102.5 billion and an enterprise value of $115 billion including debt. The transaction is expected to close in the first half of 2028, subject to approvals and customary closing conditions.
Marvell says the combination could expand its addressable market to $550 billion and provide a line of sight to more than $1 billion in annual run-rate cost synergies. These are forward-looking company estimates and should not be treated as achieved results.
What this means for PC enthusiasts and buyers
- It is an infrastructure story, not a new gaming GPU launch. The deal is focused on data-centre connectivity and optical components.
- AI systems need more than accelerators. Networking, memory, power, cooling and optical links are all part of the system.
- Do not translate this deal into an immediate PC price forecast. It does not establish a direct change in Egyptian retail prices for graphics cards, RAM or SSDs.
- Watch execution, not just the headline value. Regulatory approvals, integration, product roadmaps and customer adoption will determine the longer-term impact.

Lumentum.
